Terms of Service


This Nilo Terms of Service ("Agreement") is entered into by and between Nilo Collaborations AB ("Nilo") and the entity or person placing an order for or accessing the Service ("Customer" or "you").


By accepting the Agreement when purchasing and/or subscribing for the Services, you receive a non-exclusive, non-transferable, revocable and limited in time right to use the Free Version, Pro Version or Enterprise Version of the Application ("License").

1. The Service


1.1. Use of Service


During the Subscription Term, the Customer may access and use the Service solely for its internal business or personal purposes in accordance with this Agreement, including any usage limits in an Order.


1.2. Users


Only Users may access or use the Service. Each User must keep its login credentials confidential and not share them with anyone else. Customer is responsible for its Users’ compliance with this Agreement and actions taken through their accounts.


1.3. Sharing


You control who you share Sessions with and Nilo has no liability for how others may access or use Customer Content as a result of your or your Users’ decision to share a Session.


1.4. Restrictions


Customer will not (and will not permit anyone else to) do any of the following:

  1. provide access to, distribute, sell or sublicense the Service to a third party

  2. use the Service to develop a similar or competing product or service

  3. scrape, data mine, reverse engineer, decompile, disassemble or seek to access the source code or non-public APIs to or unauthorized data from the Service, except to the extent expressly permitted by Law (and then only with prior notice to Nilo)

  4. modify or create derivative works of the Service or copy any element of the Service (other than authorized copies of the Software)

  5. remove or obscure any proprietary notices in the Service or otherwise misrepresent the source of ownership of the Service

  6. interfere with the Service’s operation, circumvent its access restrictions or conduct any security or vulnerability test of the Service

  7. transmit any viruses or other harmful materials to the Service

  8. engage in any fraudulent, misleading, illegal or unethical activities related to the Service

  9. use the Service to store or transmit material which contains illegal content.


1.5. Support


During the Subscription Term, Nilo will provide support as stipulated in the Order.


2. Customer Content


2.1. Data Use


Customer grants Nilo the non-exclusive, worldwide right to use, copy, store, transmit and display Customer Content and to modify and create derivative works of Customer Content (for reformatting or other technical purposes), but only as necessary to provide the Service, Support and any Technical Services to Customer under this Agreement.


2.2. Personal Data


The Customer agree to allow Nilo to use their personal data as described in the Privacy Policy.


2.3. Data Export


During the Subscription Term and 30 days after, the Customer may export its Customer Content from the Service using the export features. After this period, Nilo may delete Customer Content. If the Customer decides to delete its account, all associated Customer Content will be deleted permanently and cannot be retrieved.


2.4. Customer Responsibility


The Customer is responsible for its Customer Content and agrees to comply with Laws in using the Service. The Customer represents and warrants that it has made all disclosures and has all rights, consents and permissions necessary to use its Customer Content with the Service.


3. Suspension of Service


Nilo may suspend Customer’s or a User’s access to and use of the Service and related services if Customer breaches Section 3.4, if Customer’s account is 10 days or more overdue or if Customer’s or User’s actions risk harm to other customers or the security, availability or integrity of the Service.


4. Prices, Payment and Refunds


4.1. Prices


Current prices for the Licenses are found under Pricing. All prices are exlusive of VAT, other taxes and potential tolls or import/export fees.


4.2. Subscription Term


The Subscription Term is twelve months if not otherwise agreed upon. Unless otherwise specified in the applicable Order, each Subscription Term will renew for successive 12-month period unless either party gives the other party notice of non-renewal at least 90 days before the current Subscription Term ends.


4.3. Payment


Payment for the Pro and Enterprise Versions shall be made upfront on the Initiation Day for the entire subscription term. Exceptions may be made when payment is done through invoice and/or bank transfer, in which case payment is due within the number of days after the Initiation Day as specified in the invoice. 


4.4. Refunds


Customers are entitled to a full refund within fourteen days from the Initiation Day for the Pro Version and the Enterprise Version by cancelling the License. You hereby acknowledge that the Services are provided to you on the Initiation Day and that the right to a refund does not apply at the start of a new billing period. By using the Application you will lose the right to a refund.


4.5. Price Changes


We reserve the right to change the prices listed under Pricing as well as the payment terms (including Subscription Term) at our own discretion. Such changes will however not affect a License already paid for.


5. Communication


 We reserve the right to communicate with you, also for marketing purposes. Such communication can be newsletters, product updates, offers or other information related to the Application.


6. Intellectual Property


Nilo retain all rights and title to the Services we provide (or parts thereof) including, without limitation, all intellectual property rights and know-how related to the Application and the other parts of the Services. Other than the right to use our Services that you purchase or sign-up for in accordance with the Terms, you do not acquire any other right whatsoever to our Services or the copyright, patents, trademarks, trade secrets or other intellectual property rights or goodwill related thereto.


7. Term and Termination


7.1. Terms


The Terms enter into force automatically when you sign up for an Account or use the Application or the Websites connected to the Application, whatever happens first. If you are a Customer, the Terms enter into force automatically on the Initiation Day.


7.2. Termination

You can, at any time, terminate your subscription of License(s) by sending an email to Termination will occur following your confirmation of wanting to be removed from all systems and have all your data, including User Data, deleted. Already paid fees will not be repaid. After the termination you are no longer enabled to use the Services.

8. Changes of Terms

This Agreement may change at any time to reflect changes in applicable law or updates to the Services. The changes will be posted here.
